Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nexbree ("we", "us", "our"), including our website, web application, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of terms

By creating an account, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Nexbree is an AI-powered decision operating system that provides structured decision analysis, strategic planning, team governance, and autonomous execution capabilities. The Service uses artificial intelligence models from third-party providers to generate analysis, recommendations, and content.

Important: AI-generated content is informational only. Nexbree does not provide legal, financial, medical, or professional advice. All decisions remain your responsibility.

3. Account registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 16 years of age (or the minimum age in your jurisdiction) to use the Service. You must notify us immediately of any unauthorized access at security@nexbree.com.

4. Subscriptions and billing

Nexbree offers free and paid subscription plans. Paid plans are billed monthly or annually in advance. Prices are in USD unless otherwise specified. We may change pricing with 30 days notice. You can cancel anytime from Settings → Billing. See our Refund Policy for cancellation and refund terms. We use Stripe and Razorpay for payment processing. We do not store your full payment card details.

5. Your content and data

You retain ownership of all content you submit to the Service ("Your Content"), including decisions, conversations, documents, and business data. You grant us a limited license to process, store, and display Your Content solely to provide the Service. We do not use Your Content to train AI models. We do not sell or share Your Content with third parties except as needed to operate the Service (e.g., sending your prompts to AI providers for processing).

6. AI-generated content

The Service generates analysis, recommendations, and content using AI models ("Generated Content"). Generated Content may contain errors, inaccuracies, or biases. You are solely responsible for reviewing, validating, and acting on Generated Content. We make no warranties about the accuracy, completeness, or suitability of Generated Content for any purpose. Do not rely on Generated Content for high-stakes decisions without independent verification.

7. Acceptable use

You agree to use the Service in compliance with our Acceptable Use Policy and all applicable laws. You may not use the Service to generate harmful, illegal, or misleading content, to violate any person's rights, to reverse-engineer or extract our AI models, or to exceed your plan's usage limits through automated means.

8. Intellectual property

The Service, including its design, code, algorithms, documentation, and branding, is owned by Nexbree and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service. You may not copy, modify, distribute, or create derivative works of the Service.

9. Third-party services

The Service integrates with third-party AI providers (Anthropic, OpenAI), payment processors (Stripe, Razorpay), and data connectors (Slack, Jira, Google, GitHub). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or content.

10. Data protection

We process personal data in accordance with our Privacy Policy. For enterprise customers, we offer a Data Processing Agreement. We comply with applicable data protection laws including GDPR (EU) and DPDPA (India).

11. Service availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. Enterprise plans include SLA guarantees as specified in your agreement.

12. Limitation of liability

To the maximum extent permitted by law, Nexbree's total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, loss of profits, data, or business opportunities, or any damages arising from decisions made based on AI-generated content.

13. Indemnification

You agree to indemnify and hold harmless Nexbree, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate at any time. You can delete your account from Settings → Data & Privacy. We may suspend or terminate your account for violation of these Terms or our policies. Upon termination, we will delete your data per our retention policy (typically within 30 days), except as required by law. You may export your data before termination.

15. Dispute resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through our Grievance Redressal mechanism. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
